Service terms and ownership guarantee

Last updated: October 2026

These terms apply to services commissioned from Cardiff Media Ltd. They are separate from the website terms, which govern use of cardiffmedia.co.uk.

1. Who we are and what these terms cover

Cardiff Media Ltd (company number 11922695) provides SEO, AI search optimisation, website design and hosting, blog writing and review management services. Our registered business address is Garrick Drive, Llanishen, Cardiff CF14 9BH.

In these terms, "Cardiff Media", "we", "us" and "our" mean Cardiff Media Ltd. "Client", "you" and "your" mean the person or organisation commissioning our services.

These terms apply alongside the proposal, quote or order confirmation we agree with you. If a specific term in that document conflicts with these terms, the specific term in the proposal, quote or order confirmation takes priority.

2. Services and engagement

We provide the services and deliverables described in the proposal, quote or order confirmation agreed with you. We will perform our services with reasonable care and skill. Our current monthly plans are:

  • SEO plan, £140 per month: around four hours of work per month, including rank-monitoring software and a live rankings chart.
  • SEO with reputation management, £295 per month: around eight hours of work per month. This plan includes a new website at no separate charge where you enter into the 12-month minimum agreement described below.
  • Skip hire and waste plans: website rental at £129 per month, and website with full local SEO at £295 per month. These plans are covered by section 4.

Monthly work is prioritised according to your agreed objectives. The hours are approximate and are not a guarantee that every requested task will be completed in a given month.

Website projects outside an included plan are quoted individually. The quote will describe the agreed scope, price and payment schedule. Hosting, maintenance, software, domain registration and third-party costs are included only if the quote or order confirmation says so. Prices and any applicable VAT will be shown in your quote or invoice.

3. Minimum term and renewal

Unless section 4 or your order confirmation says otherwise, monthly plans have an initial minimum term of 12 months, starting on the date stated in your order confirmation or, if no date is stated, when the service begins.

After the initial minimum term, the plan continues month to month. Either party may then end it by giving the other 30 days' written notice.

If you choose to end a monthly plan for convenience during the initial minimum term, the monthly fees remain payable up to the end of that minimum term. This is the agreed minimum commitment, not an additional cancellation charge. This does not affect any right you may have to end the agreement because of our material breach or under any right that cannot lawfully be excluded.

For the £295 SEO with reputation management plan, the new website is included at no separate charge subject to the 12-month minimum commitment. If you end the plan early, the fees due for the remainder of the minimum term remain payable. We will not charge a separate website fee unless this was expressly agreed in your quote or order confirmation.

One-off website projects follow the payment and delivery schedule in the agreed quote.

4. Skip hire and waste plans

Website rental, £129 per month. There is no setup fee. The minimum term is 12 months, after which the plan continues month to month on 30 days' written notice. During the rental, Cardiff Media owns the website and booking system and you have the right to use them for your business. You can buy the website outright at any time for the price we quote at the time you ask, and on payment the ownership guarantee in section 5 applies. If the rental ends without a buy-out, the website and booking system are taken offline and remain ours. Your domain name, your content, your images and your booking and customer data stay yours, and we will give you an export of your data.

Website with full local SEO, £295 per month. The minimum term is 24 months, after which the plan continues month to month on 30 days' written notice. When the 24 months are complete, the website and booking system are yours under section 5. If you end the plan early, the fees for the remaining months of the 24-month term become payable, and once they are paid the website and booking system are handed over to you in full.

Both plans cover a standard skip hire website with online booking, admin, skip stock and pricing, and up to 10 area pages. Larger sites or extra features are quoted separately.

5. Ownership guarantee

Once you have paid all fees due for the relevant deliverables, you own the deliverables we have created specifically for you. These may include your website files, bespoke design, code and content produced by Cardiff Media. For rental plans, ownership passes only on buy-out, as set out in section 4.

To the extent that Cardiff Media owns intellectual property rights in those paid deliverables, Cardiff Media assigns those rights to you with effect from full payment. This assignment covers the rights in the deliverables for the full period those rights exist, worldwide, and includes the right to use, copy, adapt and arrange for another provider to maintain or develop them.

You do not have to continue using Cardiff Media to keep or use your paid deliverables. You may move your website to another provider at any time, subject to paying any fees that are due and the terms of any third-party services or licences.

We will provide a handover pack for your website, which will include the relevant source files, hosting access or instructions, and domain instructions. We will arrange the work so that you can access or transfer your website without being locked into Cardiff Media. If a website is hosted through an account or service subject to a third party's terms, access and transfer will also be subject to those terms.

This ownership guarantee does not transfer ownership of:

  • tools, code, templates, methods or materials that Cardiff Media owned or developed independently of your project. Where these form part of your website, you receive a permanent licence to use them with that website;
  • third-party components, such as fonts, stock assets, software, open-source code or hosting services; or
  • materials supplied by you or by another party.

Where a third-party component is used, its own licence or service terms continue to apply. We will identify relevant third-party components and any applicable restrictions in the handover pack where reasonably practicable.

Until the relevant fees are paid in full, you may use the deliverables only for review and testing, unless we agree otherwise in writing or you are on a rental plan. You retain ownership of materials you supply to us. You give us permission to use those materials as needed to provide the services.

We may display completed work in our portfolio or case studies after it has been made public. We will not publish your confidential information or personal data as part of that display without your permission.

6. Domain names and hosting

Where we register a domain name for you, we will register it in your name and identify you as the registrant. You may transfer the domain to another provider at any time, subject to the registrar's requirements and payment of any applicable third-party fees.

We will provide domain access or transfer instructions as part of the handover. You are responsible for keeping your registrant contact details accurate and for paying domain renewal charges.

Where a website is hosted on Cloudflare or another third-party platform, the platform's terms, charges and service availability apply. You must pay any ongoing hosting or platform fees that are not expressly included in your agreed plan or quote.

7. Your responsibilities

You agree to:

  • provide the content, images, account access and other information we reasonably need to do the work;
  • make sure the information and materials you provide are accurate and that you have the rights and permissions needed for us to use them;
  • review work and provide approvals or feedback promptly; and
  • maintain the security of your accounts and access details.

If you provide information or approvals late, or do not provide access we need, our delivery dates may change. We are not responsible for delays caused by those circumstances.

8. Fees and payment

Monthly plans are invoiced monthly. One-off projects are invoiced according to the payment schedule in the agreed quote. Unless your invoice or quote states otherwise, invoices are due within 14 days of the invoice date.

If an invoice is overdue, we may give you written notice and suspend work or services until payment is made. We will take reasonable steps to avoid unnecessary disruption, but suspension may affect delivery dates, hosting or access to services we provide.

For qualifying commercial debts, we may charge statutory interest and recover fixed compensation and reasonable recovery costs in accordance with applicable late-payment law. We will not charge amounts that we are not legally entitled to recover.

9. SEO, AI search and results

Search engine and AI search results depend on factors outside our control, including changes to search algorithms, competitors' activities, third-party platforms and the content or authority of your website. We do not guarantee any particular ranking, traffic level, enquiry volume, sales result or inclusion in an AI-generated answer.

We provide ranking data through live tracking tools and charts. Rankings can vary by location, device, search term and time, and data from tracking tools may not exactly match an individual user's search results.

10. Reviews and testimonials

We do not create or publish fake reviews, knowingly present misleading reviews as genuine, or offer undisclosed incentives for reviews. Where we help you collect or manage reviews, the service is intended to support genuine customer feedback and must not be used to mislead customers or hide genuine feedback.

You are responsible for ensuring that material you provide or publish through your own accounts is accurate and lawful. Review-related services must be used in line with applicable platform rules and consumer protection law, including the Digital Markets, Competition and Consumers Act 2024.

11. Data protection

We handle personal data in line with our privacy policy and applicable data protection law, including the UK GDPR, the Data Protection Act 2018 and the Data (Use and Access) Act 2025.

Where we process personal data on your behalf as a processor, you must ensure you have a lawful basis to provide it to us. We will agree any additional data-processing terms needed for the relevant service.

12. Complaints

Please send complaints to [email protected]. We will acknowledge a complaint within 30 days and aim to resolve it without undue delay.

13. Ending the services and handover

Once the initial minimum term has ended, either party may end a monthly plan by giving 30 days' written notice. There is no further minimum-term commitment or cancellation penalty after the initial term, but fees remain payable during the notice period.

Either party may end the agreement if the other commits a material breach and, where the breach can be put right, fails to put it right within 30 days after receiving written notice.

When services end:

  • fees already due remain payable;
  • paid deliverables remain yours, and we will provide the relevant handover pack if it has not already been provided;
  • we will not take down a paid website solely because you have ended our services. This does not apply to a rental website that has not been bought out; and
  • continued hosting or operation of the website may require you to maintain a hosting account and pay any applicable third-party charges.

Deliverables that have not been paid for in full are not covered by the ownership assignment in section 5. If you want us to complete or hand over unfinished work, we will agree the scope and any payment due with you.

14. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. If you are a consumer, nothing in these terms limits your rights under the Consumer Rights Act 2015 or any other mandatory consumer protection law.

Subject to the paragraph above, our total liability arising out of or in connection with the relevant services will not exceed the fees you paid to Cardiff Media for those services in the 12 months before the event giving rise to the claim.

Subject to the first paragraph of this section, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, anticipated savings or opportunity. These limits apply only to the extent permitted by law.

15. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory rights you may have as a consumer.
